The Terms of Use (the “Terms”) are an electronic record in terms of the Information Technology Act, 2000 and the rules thereunder. This electronic record has been produced by a computer system and does not require any physical, electronic or digital signature.

These Terms govern access to and use of the ConveyGrid website (the “Website”) operated by Supravika Infratech Private Limited (“ConveyGrid”, “we”, “us” or “our”). By accessing or using the Website, including by browsing or otherwise using any part of it, you agree to be bound by these Terms, our Privacy Policy and any other terms, policies or documents referred to in these Terms. If you do not agree to these Terms, you must not access or use the Website. Access to and use of the Platform (defined below) is governed by separate platform terms or agreements and not by these Terms.

Definitions and Interpretation

  • In these Terms, unless the context requires otherwise, capitalised terms have the meanings given below. Capitalised terms used but not defined in these Terms have the meanings given to them in the Privacy Policy.
  • “ConveyGrid Content” means all content, materials, text, graphics, user interfaces, layouts, designs, documentation, explainers, questionnaires, resources, and other materials made available by ConveyGrid through the Website, other than Third-Party Content.
  • “DPDP Act” means the Digital Personal Data Protection Act, 2023, together with the Digital Personal Data Protection Rules, 2025 and any other rules, regulations, notifications or guidance issued under it.
  • “Personal Data” has the meaning given to it under the DPDP Act.
  • “Platform” means the ConveyGrid software platform, together with its modules, features, functionality, application programming interfaces, dashboards and reports, but excluding the Website.
  • “Privacy Policy” means ConveyGrid’s privacy policy, as made available on the Website and updated from time to time.
  • “Third-Party Content” means content, services, software, application programming interfaces, infrastructure or other materials provided by third parties that are made available through, integrated with, or accessed in connection with the Website.
  • “Website” means the ConveyGrid website, together with its web pages, made available at https://conveygrid.com and any successor or related web pages operated by ConveyGrid, but excluding the Platform.
  • “You” or “your” refers to the person accessing or using the Website, whether as a visitor or otherwise, as the context requires. Where you access or use the Website on behalf of an organisation, “you” includes that organisation.

Acceptance and Changes to these Terms

  • Access to and use of the Website is subject to your acceptance of and compliance with these Terms. These Terms are applicable to all users of the Website.
  • We may, at our sole discretion, review, revise, modify or substitute any part of these Terms from time to time as we may consider fit, including to reflect changes in the Website, our business or applicable law. Such changes will be posted on this page along with an updated “Last updated” date. Your continued access to and use of the Website following the implementation of any such changes shall constitute your acceptance of the revised Terms. We encourage you to review these Terms periodically.

Eligibility

  • By accessing or using the Website, you represent that you are competent to contract under the Indian Contract Act, 1872. Any person who is incompetent to contract, including a minor, is not eligible to access or use the Website. The Website is not directed at individuals below 18 years of age.
  • When you access the Website on behalf of an organisation, you affirm that you have the authority to bind that organisation to these Terms, and the references to “you” include the organisation.

Access to and Use of the Website

  • We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable, and royalty-free permission to access and view the Website for lawful, informational purposes, subject to these Terms.
  • The Website and the ConveyGrid Content accessible via the Website are made available for the purposes of general information regarding ConveyGrid and its Platform. The Website and the ConveyGrid Content do not constitute legal, regulatory or professional advice, are not a substitute for advice from a qualified adviser, and do not create any advisory or lawyer-client relationship between you and ConveyGrid. Any assessment quiz, article, guide, checklist, template, sample text, category, prompt, default setting, assessment tool, questionnaire or similar resource made available on the Website reflects our general understanding as on the date of publication, is provided as a convenience only, and must be reviewed and adapted by you for your own circumstances. ConveyGrid does not provide legal advice by making any compliance-related content, functionality or template available on the Website. Nothing on the Website should be used as an alternative for any form of professional advice. Please see the clause titled Disclaimers (Clause 10).
  • We may modify, suspend, discontinue or restrict access to the Website, or any part of it, at any time, with or without notice, and we will not be liable to you for doing so, subject to applicable law.

Acceptable Use

When you access or use the Website, you agree that you will not and will not permit or authorise any third party to:
  • use the Website for any unlawful purpose, or in violation of any applicable law, or in a manner that infringes or misappropriates the rights of any third party, including intellectual property rights, privacy rights or personality rights;
  • access or attempt to access any data, system or network without authorisation, or probe, scan or test the vulnerability of, or breach or circumvent any security or authentication measures of, the Website or any connected system or network;
  • copy, reproduce, modify, adapt, translate, distribute, publicly display, or create derivative works of the Website or any ConveyGrid Content, except as expressly permitted under these Terms;
  • disassemble, decompile, reverse engineer or otherwise attempt to discover the source code, object code, structure or underlying ideas of any software underlying the Website, except to the extent this restriction is expressly prohibited by applicable law;
  • “crawl”, “scrape”, “spider” or use any automated means to access, extract or index any part of the Website or the data contained in it, or use any part of the Website or any ConveyGrid Content to train, fine-tune, evaluate or otherwise develop any machine learning model, large language model or artificial intelligence system, in each case except with our prior written consent;
  • introduce or transmit any virus, worm, malware or other harmful code, or take any action that imposes an unreasonable or disproportionately large load on, or otherwise interferes with, disrupts or impairs the integrity or performance of, the Website or any connected system or network;
  • use the Website to develop, or to assist any third party in developing, a product or service that competes with the Website or the Platform, or to benchmark or derive competitive intelligence for such purpose;
  • resell, sublicense, rent, lease, lend, distribute or otherwise make the Website available to any third party;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity, or forge headers or otherwise manipulate identifiers to disguise the origin of any content or communication;
  • submit through the Website any content that is obscene, discriminatory, harassing, harmful to a child, false or misleading, or otherwise unlawful in any manner; or
  • engage in any conduct that could harm ConveyGrid, its users or the Website, or that misuses any information accessed through the Website.
If a breach of this clause is suspected, we have the right to carry out an investigation and to take the necessary action, such as suspending or terminating access, in accordance with the Suspension and Termination clause (Clause 9) and applicable law.

Third-Party Links

The Website may contain links to websites, resources or services operated by third parties. We do not control, endorse or assume responsibility for any third-party website or its content, and your access to and use of any third-party website is at your own risk and subject to that third party’s terms and policies. The inclusion of any link does not imply endorsement by ConveyGrid.

Intellectual Property

  • The Website and all ConveyGrid Content, including all software, source and object code, interfaces, designs, architecture, databases, documentation, trademarks, logos, branding, templates, methodologies, know-how, proprietary processes, and all improvements and enhancements to any of the foregoing, are owned by or licensed to ConveyGrid and are protected by applicable intellectual property laws. Intellectual property rights mean rights such as: copyright, trademarks, domain names, design rights, database rights, patents and all other intellectual property rights of any kind whether or not they are registered or unregistered (anywhere in the world). In addition, all page headers, custom graphics, button icons, and scripts are service marks, trademarks, and/or trade dress of ConveyGrid. All rights not expressly granted to you under these Terms are reserved by ConveyGrid and its licensors.
  • Except for the limited permissions and licences expressly granted under these Terms, nothing in these Terms grants you any right, title or interest in or to the Website or any ConveyGrid Content, whether by implication, estoppel or otherwise.
  • You must not, and must not permit any third party to, copy, modify, reproduce, adapt, translate, distribute, publicly display, create derivative works of, reverse engineer, decompile or disassemble, extract the source code of, scrape, resell, sublicense, or use to build a competing product or service, the Website or any ConveyGrid Content, except as expressly permitted under these Terms or by applicable law.
  • If you provide any suggestions, comments, ideas or other feedback regarding the Website, ConveyGrid may use that feedback for any purpose without any obligation or compensation to you, and you assign to ConveyGrid all rights in such feedback to the extent necessary for ConveyGrid to do so.

Data Privacy

8.1 Our collection, use and disclosure of Personal Data in our own capacity is described in the Privacy Policy, which is incorporated into these Terms by reference. In respect of Personal Data collected through the Website, including through enquiry forms, demo bookings and downloads, ConveyGrid acts as the Data Fiduciary and determines the purposes and means of processing. Any processing of Personal Data by ConveyGrid on behalf of an organisation in connection with the Platform is governed by the separate platform terms and the data processing agreement forming part of them.

Suspension and Termination

  • Suspension: We may suspend your access to the Website, in whole or in part, with or without notice, where (a) we reasonably believe you are in breach of these Terms or applicable law; (b) your access or use poses a security risk to, or may adversely affect the operation, integrity or availability of, the Website or any other user; or (c) your use is or may be unlawful. We will use reasonable efforts to limit any suspension to what is necessary and, where practicable and lawful, to notify you.
  • Termination of website access: We may also suspend or discontinue the Website (in whole or in part) for operational, legal, or regulatory reasons, with or without notice.
  • Effect of termination: On termination or expiry, the rights and permissions granted under these Terms cease immediately and you must stop accessing and using the Website.
  • Survival: Any provision of these Terms that by its nature should survive termination will survive, including the clauses titled Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution and this clause.

Disclaimers

To the fullest extent permitted by applicable law:
  • the Website is provided on an “as is” and “as available” basis, and ConveyGrid disclaims all warranties, conditions and representations of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, quality and non-infringement;
  • ConveyGrid does not warrant that the Website will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the Website or any connected system is free of viruses or other harmful components;
  • ConveyGrid is not responsible for Third-Party Content, or for any act, omission, change, failure or discontinuation of any third-party service, integration or provider;
  • ConveyGrid is not responsible for the accuracy, completeness, adequacy or legality of any information, instructions or materials you submit or provide through the Website;
  • ConveyGrid does not warrant or guarantee any legal or regulatory outcome, or that access to or use of the Website will, by itself, result in or ensure compliance with the DPDP Act or any other law;
  • any templates, sample text, categories, prompts, default settings, records, reports or other outputs made available through the Website are provided as a convenience only, and ConveyGrid does not warrant that reliance on them will satisfy any legal or regulatory requirement; and
  • any UI mock-ups, illustrations or other visual or graphical representations of the Platform made available on the Website are provided for illustrative and representational purposes only and do not depict the actual user interface, features, functionality or performance of the Platform, and must not be relied upon as such.

Limitation of Liability

  • Exclusion of certain losses: To the fullest extent permitted by applicable law, neither party will be liable to the other for any indirect, incidental, special, punitive or consequential loss or damage, or for any loss of profits, revenue, business, anticipated savings, goodwill or reputation, or for any loss or corruption of data, in each case arising out of or in connection with these Terms or the Website, whether in contract, tort (including negligence), under statute or otherwise, and whether or not the party was advised of the possibility of such loss or damage.
  • Aggregate liability: To the fullest extent permitted by applicable law, the total aggregate liability of ConveyGrid arising out of or in connection with these Terms and the Website will not exceed INR 10,000.

Indemnification

You will indemnify and hold harmless ConveyGrid and its affiliates, and their respective officers, directors, employees and agents, from and against any claim, and any resulting losses, damages, liabilities, costs and reasonable expenses (including reasonable legal fees), arising out of or in connection with (a) your breach of these Terms; (b) your violation of applicable law; or (c) your infringement or misappropriation of the rights of any third party.

Relationship with Other Agreements

  • These Terms operate alongside the Privacy Policy. Access to and use of the Platform is governed by separate terms, which may include platform terms, an order form, and any other customer onboarding agreement (together, the “Platform Terms”).
  • In the event of any conflict or inconsistency between these Terms and the Privacy Policy, the Privacy Policy will prevail in relation to matters concerning ConveyGrid’s own processing of Personal Data. These Terms do not supersede the Platform Terms, which continue to govern access to and use of the Platform. In the event of any conflict between these Terms and the Platform Terms in relation to the Platform, the Platform Terms prevail.
  • These Terms and the Privacy Policy govern all access to and use of the Website.

Governing Law and Dispute Resolution

  • These Terms are governed by and construed in accordance with the laws of India.
  • The courts at Ahmedabad, Gujarat, India will have exclusive jurisdiction over any dispute, controversy or claim arising out of or in connection with these Terms or the Website (“Dispute”).
  • The parties will first attempt to resolve any Dispute amicably and in good faith. Either party may give written notice of a Dispute to the other. If the Dispute is not resolved within 30 (thirty) days of that notice, it will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (including any statutory amendment or re-enactment of it), by a sole arbitrator appointed by mutual consent of the parties. The seat and venue of arbitration will be Ahmedabad, India, and the language of the arbitration will be English. The arbitral award will be final and binding on the parties.

In accordance with the Information Technology Act, 2000 and the rules made thereunder, if you have any complaint, concern or grievance in relation to the Website, or the treatment of your information by ConveyGrid, you may contact our Grievance Officer:

Our Grievance Officer will acknowledge your complaint and seek to resolve it within the timelines prescribed under applicable law. If your complaint concerns the processing of your Personal Data by an organisation that uses the Platform, we may refer your complaint to that organisation or ask you to contact it directly, as that organisation is responsible for that processing.

Miscellaneous

  • Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and ConveyGrid in relation to the Website, and supersede all prior or contemporaneous understandings, communications and proposals, whether oral or written, in relation to their subject matter. Any ambiguity will not be construed against the drafting party.
  • Assignment: You may not assign, transfer or sub-contract any of your rights or obligations under these Terms without ConveyGrid’s prior written consent. ConveyGrid may assign or transfer its rights and obligations under these Terms, including to an affiliate or in connection with a merger, acquisition or sale of assets, on notice to you.
  • Severability: If any provision of these Terms is held to be unlawful, void or unenforceable, that provision will be enforceable to the fullest extent permitted by applicable law, the unenforceable portion will be deemed severed, and the remaining provisions will continue in full force and effect.
  • Waiver: No failure or delay by ConveyGrid in exercising any right or provision of these Terms will constitute a waiver of that or any other right or provision, and no waiver will be effective unless in writing.
  • Force majeure: ConveyGrid will not be liable for any delay in or failure of performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, civil or military action, government action, epidemics or pandemics, fire, flood, accident, strikes or labour shortages, or failures or interruptions of networks, power, internet or telecommunications infrastructure or third-party services.
  • Notices: We may provide notices to you by posting on the Website. You may provide notices to us at the contact details set out in the clause titled Grievance Redressal (Clause 15).
  • Relationship of the parties: Nothing in these Terms creates any partnership, joint venture, agency, franchise or employment relationship between the parties. Neither party has authority to bind the other.
